Terms of Submission

Your submission of information is subject to the following terms and conditions (“Terms and Conditions”) and all applicable laws. By checking the box and accepting these terms and conditions, you accept each and every one of the terms below and the compensation stated therein without limitation or qualification:

  1. You represent and warrant that you are an individual over the age of 18 years of age and that any information that you provide as part of your submission is true and accurate, including but not limited to your name and contact information.
  2. You agree that you are not sending confidential or protected information or creative materials as part of your submission that you do not want to become the exclusive property of Vita-Mix Corporation ("Vitamix").
  3. By submitting your Vitamix story to Vitamix, you are granting Vitamix and its subsidiaries, agents, affiliates, and/or its distributors an immediate non-exclusive, non-transferable, non-assignable limited right to reproduce, use, publish and distribute the contents of your submission in future publications, in any media whatsoever, throughout the world and in perpetuity. Anything you transmit shall be deemed to have been assigned to Vitamix immediately upon submission, and may be used anywhere and in any medium, without compensation to you, by Vitamix or its affiliates, for any purpose, including but not limited to reproduction, disclosure, transmission, publication, broadcast, licensing and posting. Furthermore, Vitamix is free to use, without compensation to you, any ideas, concepts, know-how, techniques or other intellectual property contained in any communication you send as part of your submission for any purpose whatsoever, including but not limited to developing, manufacturing, and marketing products using such information.

    Any communication or material you transmit as part of your submission, is, and will be treated as, non-confidential, non-proprietary and unprotected information subject to Vitamix’s option to purchase the exclusive rights to use and copyright such materials.
  4. You understand that Vitamix and/or its representatives may, at its sole discretion, contact you to get additional information pertaining to your submission and agree that such contact is permissible using the information you provided as part of your submission.
  5. You agree to the use of your name in conjunction with the information contained in your submission. You understand and agree to release and discharge Vitamix and its subsidiaries, directors, officers affiliates, employees, consultants, and agents, from any and all claims and demands whatsoever arising out of or in connection with the use of the information contained in your submission including without limitation any claims or demands based on any breach or violation of a right of publicity, right of privacy, false copyright or trademark and or based on false designation of origin, false endorsement and or defamation.
  6. You understand that Vitamix may, in its sole discretion, seek to obtain the exclusive rights to your submission and the information contained therein. You agree to grant Vitamix such exclusive rights in exchange for the additional compensation of a Vitamix cookbook.
  7. In exchange for the mutual promises contained herein, including the option to purchase the exclusive right to the contents of your submission, Vitamix agrees to provide you with, and you agree to accept a recipe developed exclusively to compensate individuals submitting stories of their Vitamix experience as part of this project. After completing your submission, the recipe can be downloaded from the submission confirmation page or "thank you page."
  8. You represent and warrant that all material contained in your submission is your own original work and does not infringe on any intellectual property rights or violate any laws or the rights of any third parties.
  9. You agree to indemnify, defend and hold harmless Vitamix and all of its officers, directors, shareholders, employees, agents and other representatives (collectively, the “Indemnitees”) from and against any and all liability, loss or cost (including attorneys’ fees) incurred by the Indemnitees arising out of, or related to any breach by you of, these Terms and Conditions.
  10. Vitamix controls and operates this site from its headquarters in Cleveland, Ohio, in the United States of America. You agree that your submission is governed by the laws of the State of Ohio without regard to the choice of laws or conflict of laws or principles thereof and that any dispute arising from this Agreement shall be heard in binding arbitration before the American Arbitration Association, AAA in Cleveland, Ohio.
