1. Eligibility. The Whole Begins Here Sweepstakes (the “Sweepstakes”) is open only to individuals who are legal residents and physically located in the fifty (50) states in the United States of America or the District of Columbia and who are at least the age of majority in their state of residence at the time of entry. Employees, officers and directors of Vita-Mix Management Corporation, or its affiliates (“Sponsor” or “Administrator”), advertising and promotion agencies, distributors and other prize suppliers (collectively with Sponsor, the “Sweepstakes Entities”), and each of such employees’, officers’ and directors’ immediate family members and/or those living in the same household (whether legally related or not) of each are not eligible to enter the Sweepstakes or win a prize. For purposes of this Sweepstakes, immediate family members are defined as spouse, partner, parents, legal guardians, in- laws, grandparents, siblings, children and grandchildren, and those living in the same household shall mean people who share the same residence at least three (3) months a year, whether legally related or not. Void where prohibited by law. By participating in the Sweepstakes, each entrant unconditionally accepts and agrees to comply with and abide by these “Official Rules” and the decisions of Sponsor, including the interpretation of these Official Rules and its exercise of discretion, which will be final and binding in all respects.

2. Entry Period. The Sweepstakes begins on or about 08:00:00 a.m. Eastern Time on September 27, 2021, and all entries must be received by Sponsor on or before 11:59:59 p.m. Eastern Time on October 6, 2021 (the “Entry Period”).

Twitter Entry. To enter the Sweepstakes via Twitter, an entrant must comment on and “like” the Sweepstakes post and follow the Sponsors’ Twitter (@vitamix).

To enter the Sweepstakes without using Facebook, Instagram, or Twitter an entrant must legibly hand print on a 3” x 5” card entrant’s full name, complete address, email address, and date of birth, and mail such card with proper postage to 8615 Usher Road, Cleveland, Ohio 44138 (ATTN: LEGAL). TO PROTECT YOUR PRIVACY, WE RECOMMEND THAT YOU SEND THE 3X5 CARD IN AN ENVELOPE. All mail-in entries must be postmarked by October 6, 2021, and received by Sponsor on or before 11:59:59 p.m. Eastern Time on October 8, 2021, to be eligible for the Sweepstakes.

Aquellos que no sigan todas las instrucciones, proporcionen la información requerida en su formulario de inscripción, o acaten estas Reglas Oficiales u otras instrucciones del Patrocinador podrán ser descalificados. 4. Winner Selection and Prize Claiming. There will be two (2) winners selected in this Sweepstakes. The potential winners will be selected through a random drawing on or about October 11, 2021, from all eligible entries received in accordance with these Official Rules. Sponsor will have complete discretion over interpretation of the Official Rules, of administration of the Sweepstakes, and of selection of the winners. Decisions of Sponsor as to the selection of the winners will be final. The potential winners will be notified using the information provided during entry by any of email, telephone, mail, a post on the potentially winning entry or through a direct message on a social media service (if applicable) (method to be selected by Sponsor in its sole discretion) in a commercially reasonable time after the drawing. The Sweepstakes Entities are not responsible for false, incorrect, changed, incomplete or illegible contact information. Notification is deemed to have occurred immediately upon sending of a direct message, tweet, or email, or placing of a phone call, one (1) day after sending via a delivery service or two (2) days after mailing. A potential prize winner who provides a P.O. Box may be required to provide an alternative address and this may cause a delay in notification and acceptance so use of a P.O. Box is discouraged. The Sweepstakes Entities are not responsible for electronic communications that are undeliverable as a result of any form of active or passive filtering of any kind, or insufficient space in entrant’s email account to receive email messages. Each potential winner may be required to submit an affidavit of eligibility / release of liability / prize acceptance agreement (collectively, the “Affidavit”) and return the Affidavit within the time period specified at notification before being eligible to receive his or her prize(s). If any potential prize winner fails or refuses to sign and return such Affidavit within the time period required by Sponsor or if the prize or prize notification is returned as rejected, faulty, unclaimed or returned as undeliverable to such potential prize winner, such potential prize winner may be disqualified and an alternate may be selected, in Sponsor’s discretion. Non-compliance shall result in disqualification, and the prize(s) may be forfeited or awarded to an alternate winner, in Sponsor’s discretion. If any potential prize winner is found to be ineligible, or if he or she has not complied with these Official Rules, or if the potential prize winner cannot attend or participate in any portion of the prize, or declines a prize for any reason prior to award, such potential winner may be disqualified and the prize(s) may be forfeited or an alternate potential winner may be selected, in Sponsor’s discretion. If, for any reason, more bona fide winners come forward seeking to claim prizes in excess of the number of each type of prize set forth in these Official Rules, the winners, or remaining winners, as the case may be, of the advertised number of prizes available may be selected in a random drawing from among all persons making purportedly valid claims for such prize(s). Inclusion in such drawing shall be each entrant’s sole and exclusive remedy under such circumstances. The Sweepstakes Entities are not responsible for and shall not be liable for late, lost, damaged, intercepted, misdirected, or unsuccessful efforts to notify the potential winners.

5. Probabilidades. Las probabilidades de ganar dependerán del número total de participaciones elegibles recibidas.

6. Prize(s) and Values. Two (2) prizes will be awarded, as follows: two (2) Sweepstakes winners (the “Winners”) will receive a prize consisting of a black or slate Vitamix Ascent 2500, the Vitamix 100th Anniversary Cookbook, the Food Processor Attachment, and the Stainless Steel Container (the “Prize”), with the Prize having an approximate retail value (“ARV”) of $924.80. Prizes are non-transferable, with no cash redemptions, equivalents or substitutions except at Sponsor’s sole and absolute discretion. All Prize details not specified in these Official Rules will be determined in Sponsor’s sole and absolute discretion. Prize details and availability are subject to change and are subject to prize provider’s rules and restrictions, and in the event that Sponsor is unable to provide the Winners with part or all of his or her Prize, Sponsor may elect to provide such Winners with the approximate value of such item in cash or award an alternate prize of comparable or greater value. All Prizes are awarded “AS IS” and without warranty of any kind, express or implied (including, without limitation, any implied warranty of merchantability or fitness for a particular purpose). Winners will be solely responsible for all federal, state, local and/or provincial taxes, and for any other fees or costs associated with the Prize(s) they receive, regardless of whether they, in whole or in part, are used. The ARV of each Prize is based on available information provided to Sponsor and the value of any Prize awarded to a Winner may be reported for tax purposes as required by law. The Winners may be required to provide Sponsor with a valid social security number for tax reporting purposes before the Prize(s) will be awarded. An IRS Form 1099 may be issued in the name of each Winner for the actual value of the Prize received by such Winner. Unclaimed Prize(s) will be forfeited. Prize(s), if legitimately claimed, will be awarded. The Sponsor is not responsible for and will not replace any lost, mutilated or stolen Prize(s) or any Prize that is undeliverable or does not reach the Winner because of an incorrect or changed address. If the Winners does not accept or use the entire Prize, the unaccepted or unused part of the Prize will be forfeited and the Sponsor will have no further obligation with respect to that Prize or portion of the Prize. No more than the stated Prizes will be awarded. The total ARV of all of the Prizes awarded in this Sweepstakes is $924.80. The Sponsor is not responsible for, and no Winner will receive, the difference, if any, between the actual value of such Winner’s Prize(s) at the time of award and the stated ARV in these Official Rules or in any Sweepstakes-related correspondence or material. Limit of one (1) Prize per person.

7. Liberación de Publicidad. Sujeto a la ley aplicable, los Ganadores otorgan irrevocablemente al Patrocinador y sus licenciatarios, sucesores, cesionarios y sublicenciatarios el derecho y permiso para usar su nombre, voz, semejanza, material biográfico y/o entrada con fines publicitarios, promocionales y/o publicitarios en relación con el Sorteo, en todas las formas de medios y de todas las maneras (ahora y en adelante conocidas), y en relación con productos, servicios, publicidad y promoción relacionados materiales (ahora conocidos o desarrollados en lo sucesivo), en todo el mundo, a perpetuidad, sin obligación alguna, aviso o contraprestación a excepción de la entrega de los Premios a los Ganadores.

8. La manipulación del Sorteo. El Patrocinador no es responsable de las acciones de los participantes en relación con el Sorteo, incluidos los intentos de los participantes de eludir las Reglas Oficiales o interferir de otra manera con la administración, seguridad, equidad, integridad o conducta adecuada del Sorteo. Las personas que se encuentren manipulando o abusando de cualquier aspecto de este Sorteo, o que el Patrocinador o Administrador considere que están causando un mal funcionamiento, error, interrupción o daño pueden ser descalificadas. CUALQUIER INTENTO POR PARTE DE UNA PERSONA DE DAÑAR CUALQUIER SITIO WEB (INCLUIDO EL SITIO WEB DEL SORTEO) O WIDGET O SOCAVAR EL FUNCIONAMIENTO LEGÍTIMO DE ESTE SORTEO PUEDE SER UNA VIOLACIÓN DE LAS LEYES PENALES Y CIVILES Y, EN CASO DE QUE SE REALICE TAL INTENTO, EL PATROCINADOR SE RESERVA EL DERECHO DE BUSCAR TODOS LOS RECURSOS LEGALES Y EQUITATIVOS DE Y CONTRA DICHA PERSONA EN LA MÁXIMA MEDIDA PERMITIDA POR LA LEY. El Patrocinador se reserva el derecho, a su entera y absoluta discreción, de descalificar (o rescindir el Premio de) a cualquier persona que se encuentre o se sospeche que actúa en violación de estas Reglas Oficiales, o que actúa de manera antideportiva, obscena, inmoral o perturbadora, o con la intención de molestar, abusar, amenazar o acosar a cualquier otra persona.

9. Suspensión/Modificación/Terminación. En el caso de que el Patrocinador no pueda continuar con el Sorteo por cualquier evento fuera de su control, incluyendo, pero no limitado a, incendio, inundación, epidemia, terremoto, explosión, disputa laboral o huelga, acto fortuito o enemigo público, fallas de comunicaciones o equipos, interrupciones de servicios públicos o servicios, disturbios o disturbios civiles, amenaza o actividad terrorista, guerra (declarada o no declarada), interferencia con el Sorteo por parte de cualquier parte, o cualquier estado federal, ley, orden o reglamento del gobierno local o provincial, orden de cualquier tribunal o jurisdicción, u otra causa que no esté razonablemente dentro del control del Patrocinador (cada uno un evento o suceso de “Fuerza Mayor”), el Patrocinador tendrá derecho a modificar, suspender o terminar el Sorteo o Premio. Además, el Patrocinador se reserva el derecho, a su entera y absoluta discreción: (a) modificar, suspender o rescindir el Sorteo debe causar que fuera del control del Patrocinador corrompe o interfiera con la administración, integridad, operación, seguridad o juego adecuado del Sorteo; o (b) descalificar a cualquier participante que se encuentre o se sospeche de: (i) alterar el proceso de inscripción o la operación del Sorteo; (ii) actuar en violación de estas Reglas Oficiales; o iii) actuar de manera antideportiva.

10. exenciones, renuncias y liberaciones. Al participar en el Sorteo, el participante acepta liberar, dar de baja, indemnizar y eximir de responsabilidad al Patrocinador, Entidades Patrocinadoras, Facebook e Instagram, y a cada uno de sus respectivos directores, funcionarios, empleados, agentes, sucesores y cesionarios (“Partes Liberadas”) de y contra todas y cada una de las reclamaciones, responsabilidades, costos (incluidos los honorarios de abogados), pérdidas, daños, multas o lesiones (hasta e incluyendo lesiones corporales y muerte) de cualquier tipo que surjan de o estén relacionados con: (i) la participación de los participantes en el Sorteo (incluidos los viajes hacia/desde o la participación en cualquier Sorteo o actividad relacionada con el Premio); (ii) cualquier aceptación, posesión, mal uso o uso de cualquier Premio (incluyendo, sin limitación, pérdidas, daños o lesiones al equipo del participante o de cualquier otra persona u otra propiedad, o a sus personas, incluidas las que surjan de cualquier viaje hacia/desde cualquier evento o actividad del Premio); (iii) la violación de los derechos de publicidad o privacidad por parte de las Partes Liberadas, reclamos de difamación o representación bajo una luz falsa o basada en cualquier reclamo de infracción de la propiedad intelectual; y iv) cualquier error tipográfico, humano o de otro tipo en el impresión, oferta, selección, operación o anuncio de cualquier actividad del Sorteo y/o Premio. Sin limitar la generalidad de lo anterior, los Participantes acuerdan que las Partes Liberadas: (a) no han hecho ni serán de ninguna manera responsables de ninguna garantía, representación o garantía, expresa o implícita, de hecho o de derecho, en relación con el Sorteo y/o con respecto a los Premios, incluyendo, sin limitación, la calidad o adecuación de cualquier Premio para un propósito particular; (b) no mantener ningún control sobre el personal, equipo u operación de cualquier compañía aérea, de agua o de superficie, compañía de líneas navales, autobuses o limusinas, compañía de transporte, hotel, fabricante u otra persona o entidad que proporcione servicios, productos o alojamientos (“Proveedores”) como parte de los Premios otorgados en relación con el Sorteo; y (c) no será responsable de ninguna lesión, daño, pérdida, gasto, accidente, retraso, inconveniente u otra irregularidad que pueda ser causada o contribuida a: (i) por el acto u omisión ilícitos, negligentes o no autorizados por parte de los Proveedores o cualquiera de sus agentes, servidores, empleados o contratistas independientes, ii) por cualquier defecto o fallo de cualquier vehículo, equipo, instrumentalidad, servicio o producto que sea propiedad, operado, amueblado o utilizado de otro modo por cualquiera de esos Proveedores, (iii) por el acto u omisión ilícito, negligente o no autorizado por parte de cualquier otra persona o entidad que no sea empleado de las Partes Liberadas, y (iv) por cualquier causa, condición o evento ajeno al control de las Partes Liberadas. Los participantes acuerdan y que las Partes Liberadas no tendrán ninguna responsabilidad por los premios descontinuados; error humano; transcripción incorrecta o inexacta del registro y/o información de la cuenta; cualquier mal funcionamiento técnico de la red telefónica, sistema informático en línea, mecanismo de datación por computadora, equipo informático, software o proveedor de servicios de Internet utilizado por el Patrocinador; interrupción o imposibilidad de acceder al Widget o Patrocinador o sitios web respectivos de las entidades afiliadas, o cualquier servicio en línea a través de Internet debido a hardware o software problemas de compatibilidad; cualquier daño a la computadora del participante (o de cualquier tercero) y/o su contenido relacionado con o resultante de cualquier parte del Sorteo; cualquier pérdida o retraso de las transmisiones de datos, omisiones, interrupciones, virus, errores, defectos; y/o cualquier otro error o mal funcionamiento, incluso si es causado por la negligencia de las Partes Liberadas. Cada participante acuerda además indemnizar y mantener indenne a las Partes Liberadas de y contra toda responsabilidad resultante o derivada del Sorteo y liberar todos los derechos de presentar cualquier reclamo, acción o procedimiento contra Partes Liberadas y por la presente reconoce que las Partes Liberadas no han hecho ni son de ninguna manera responsables de ninguna garantía, representación o garantía, expresa o implícita, de hecho o de derecho, relativa a un Premio, incluidas las garantías expresas proporcionadas exclusivamente por un Proveedor que pueden ser enviados junto con un Premio . Las Partes Liberadas no son responsables de ningún cambio o indisponibilidad de ninguna plataforma de redes sociales utilizada para los fines de participar en este Sorteo que pueda interferir con el Sorteo (incluyendo cualquier limitación, cualquier restricción o cualquier condición sobre la capacidad del Patrocinador para usar la plataforma de redes sociales para el Sorteo como se establece en el presente documento que no sea aceptable para el Patrocinador) o la capacidad del participante para ingresar oportunamente, recibir avisos o comunicarse con el Patrocinador a través de la plataforma de redes sociales, en la que caso El Patrocinador, a su entera discreción, podrá rescindir o modificar el Sorteo.

11. Información de Ingreso y Comunicaciones del Sorteo. Como condición para participar en el Sorteo, cada participante da su consentimiento para que el Patrocinador obtenga y entregue su nombre, dirección y otra información a terceros con el propósito de administrar este Sorteo y para cumplir con las leyes, regulaciones y reglas aplicables. Cualquier información que el participante proporcione al Patrocinador puede usarse para comunicarse con el participante en relación con este Sorteo o en la lista de ganadores del Sorteo.

12. Governing Law / Limitation of Liability. All issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules or the rights and obligations of entrants, Sponsor, or the Released Parties in connection with the Sweepstakes will be governed by and construed in accordance with the internal laws of the State of Ohio, without giving effect to any choice of law or conflict of law rules or provisions that would cause the application of any other laws. BY ENTERING THE SWEEPSTAKES, ENTRANT AGREES THAT TO THE EXTENT PERMITTED BY APPLICABLE LAW: (A) ANY AND ALL DISPUTES, CLAIMS AND CAUSES OF ACTION ARISING OUT OF OR CONNECTED WITH THE SWEEPSTAKES, OR ANY PRIZE AWARDED, WILL BE RESOLVED INDIVIDUALLY, WITHOUT RESORT TO ANY FORM OF CLASS ACTION; (B) ANY AND ALL CLAIMS, JUDGMENTS AND AWARDS WILL BE LIMITED TO ACTUAL THIRD-PARTY, OUT-OF-POCKET COSTS INCURRED (IF ANY) NOT TO EXCEED TEN DOLLARS ($10.00), BUT IN NO EVENT WILL ATTORNEYS’ FEES BE AWARDED OR RECOVERABLE; (C) UNDER NO CIRCUMSTANCES WILL ANY ENTRANT BE PERMITTED TO OBTAIN ANY AWARD FOR, AND ENTRANT HEREBY KNOWINGLY AND EXPRESSLY WAIVES ALL RIGHTS TO SEEK, PUNITIVE, INCIDENTAL, CONSEQUENTIAL OR SPECIAL DAMAGES, LOST PROFITS AND/OR ANY OTHER DAMAGES, OTHER THAN ACTUAL OUT OF POCKET EXPENSES NOT TO EXCEED TEN DOLLARS ($10.00), AND/OR ANY RIGHTS TO HAVE DAMAGES MULTIPLIED OR OTHERWISE INCREASED; AND (D) ENTRANTS’ REMEDIES ARE LIMITED TO A CLAIM FOR MONEY DAMAGES (IF ANY) AND ENTRANT IRREVOCABLY WAIVES ANY RIGHT TO SEEK INJUNCTIVE OR EQUITABLE RELIEF. 13. Dispute Resolution. The parties each agree to finally settle all disputes only through arbitration; provided, however, Sponsor shall be entitled to seek injunctive or equitable relief in the state and federal courts in Cuyahoga County, Ohio, and any other court with jurisdiction over the parties. In arbitration, there is no judge or jury and review is limited. The arbitrator’s decision and award is final and binding, with limited exceptions, and judgment on the award may be entered in any court with jurisdiction. The parties agree that, except as set forth above, any claim, suit, action or proceeding arising out of or relating to this Sweepstakes shall be resolved solely by binding arbitration before a sole arbitrator under the streamlined Arbitration Rules Procedures of JAMS Inc. (“JAMS”) or any successor to JAMS. In the event JAMS is unwilling or unable to set a hearing date within fourteen (14) days of the filing of a “Demand for Arbitration”, then either party can elect to have the arbitration administered by the American Arbitration Association (“AAA”) or any other mutually agreeable arbitration administration service. If an in-person hearing is required, then it will take place in Cleveland, Ohio. The federal or state law that applies to these Official Rules will also apply during the arbitration. Disputes will be arbitrated only on an individual basis and will not be consolidated with any other proceedings that involve any claims or controversy of another party, including any class actions; provided, however, if for any reason any court or arbitrator holds that this restriction is unconscionable or unenforceable, then the agreement to arbitrate doesn’t apply and the dispute must be brought in a court of competent jurisdiction in Cuyahoga County, Ohio. Sponsor agrees to pay the administrative and arbitrator’s fees in order to conduct the arbitration (but specifically excluding any travel or other costs of entrant to attend the arbitration hearing). Either party may, notwithstanding this provision, bring qualifying claims in small claims court.

14. Lista de Ganador (es) del Sorteo/Solicitudes de Reglas Oficiales. Para recibir una lista de Ganadores, envíe un sobre sellado con la autodireccion a: “Lista de ganadores del sorteo”, 8615 Usher Road, Cleveland, Ohio 44138, dentro de los sesenta (60) días siguientes a la expiración del Periodo de Ingreso. Indique qué lista de ganadores del Sorteo está solicitando haciendo referencia al nombre del Sorteo en su solicitud. Para obtener una copia de estas Reglas Oficiales, enviar un sobre tamaño legal, autodireccionable y sellado a: “Sweeptakes Official Rules”, 8615 Usher Road, Cleveland, Ohio 44138, antes de que finalice el Periodo de Ingreso. Por favor, indica qué Reglas Oficiales del Sorteo estás solicitando haciendo referencia al nombre del Sorteo en tu solicitud.

15. Miscelánea. La invalidez o inexigibilidad de alguna disposición de estas Reglas Oficiales o de la declaración jurada no afectará a la validez o ejecutoriedad de ninguna otra disposición. En el caso de que se determine que alguna disposición de las Reglas Oficiales o de la declaración jurada es inválida o inaplicable o ilegal, las demás disposiciones permanecerán vigentes y se interpretarán de acuerdo con sus términos como si la disposición inválida o ilegal no estuviera contenida en este documento. El hecho de que el Patrocinador no haga cumplir algún término de estas Reglas Oficiales no constituirá una renuncia a esa disposición. Los participantes acuerdan renunciar a cualquier derecho para reclamar ambigüedad de estas Reglas Oficiales. Los encabezamientos son únicamente para conveniencia de referencia y no se considerará que afecten de ninguna manera el significado o intención de los documentos o cualquier disposición de los mismos. En el caso de que exista una discrepancia o inconsistencia entre divulgaciones u otras declaraciones contenidas en cualquier material relacionado con Sweepstakes, política de privacidad o términos de uso en el sitio web del Patrocinador, y/o los términos y condiciones de las Reglas Oficiales, prevalecerán, regirán y controlarán las Reglas Oficiales y la discrepancia se resolverá a discreción única y absoluta del Patrocinador.

16. Identificación del Patrocinador. Este Sorteo es patrocinado y administrado por Vita-Mix Management Corporation. Las referencias a terceros en relación con los Premios y/o sitios web o servicios de terceros son solo para fines de referencia e identificación y no pretenden sugerir endoso, patrocinio o afiliación con el Patrocinador o el Sorteo.
